Agreement to Terms
By accessing our website at nationalboco.com or engaging National Bookkeeping Company® (“NBC,” “we,” “our,” or “us”) for professional services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, please do not use our website or services.
Description of Services
NBC provides professional financial and business support services to small businesses in the Rio Grande Valley and throughout Texas. Our services include:
- Bookkeeping: Recording, organizing, and maintaining financial transactions and records on behalf of our clients.
- Payroll Processing: Preparing and processing employee payroll, including tax withholdings and filings.
- Tax Preparation: Preparing and filing federal, state, and local tax returns for businesses and individuals.
- Business Consultation: Providing guidance on financial strategy, business operations, and growth planning to help clients make informed decisions.
- New Corporation & LLC Formation: Assisting with the preparation and filing of documents required to establish new business entities in Texas.
Service Tiers
NBC offers professional bookkeeping services through our SmartBooks service tiers, which are tailored to the size and needs of each client's business. Specific pricing, scope, and deliverables for each tier are discussed during consultation and outlined in the individual service agreement between NBC and the client.
Client Responsibilities
To ensure we can deliver accurate and timely services, clients agree to provide complete, accurate, and timely financial records, documents, and information as requested. Clients are responsible for reviewing the work product we deliver (including financial statements, tax returns, and reports) and notifying us promptly of any errors or discrepancies. Clients must also maintain their own copies of original documents and ensure that all information provided to NBC is truthful and complete.
NBC relies on the accuracy and completeness of the information provided by our clients. We are not responsible for errors, penalties, or liabilities resulting from incomplete, inaccurate, or untimely information provided by the client.
Professional Standards
NBC performs all services in accordance with generally accepted accounting principles (GAAP), applicable IRS regulations, and Texas state requirements. Our team exercises professional care and diligence in all work performed on behalf of our clients.
Confidentiality
We understand the sensitive nature of financial information. NBC maintains strict confidentiality of all client records, financial data, and personal information. We will not disclose client information to any third party without the client's written consent, except where required by law or regulation (such as authorized tax filings).
Fees and Payment
Service fees are outlined in the individual service agreement between NBC and each client. Fees are based on the scope of services, the complexity of the client's financial needs, and the selected SmartBooks tier. Payment terms, due dates, and accepted payment methods are specified in each client's agreement. NBC reserves the right to adjust pricing with advance written notice to the client.
Limitation of Liability
To the fullest extent permitted by law, NBC's total liability to any client for claims arising out of or related to our services shall not exceed the total fees paid by that client to NBC during the twelve (12) months preceding the claim. NBC shall not be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to lost profits, lost revenue, or penalties assessed by tax authorities, except where such damages result directly from NBC's gross negligence or willful misconduct.
Termination
Either party may terminate the service relationship with thirty (30) days' written notice. Upon termination, NBC will return all original client documents and provide a final accounting of work completed. The client is responsible for payment of all fees for services rendered through the date of termination. Provisions regarding confidentiality and limitation of liability survive termination.
